Avicanna Closes Oversubscribed $22.1 Million Special Warrant Offering

TORONTO, April 18, 2019 /CNW/ – Avicanna Inc. (“Avicanna” or the “Corporation”), a company focused on the eventual development and manufacturing and commercialization of plant-derived cannabinoid-based products, is pleased to announce that it has closed its previously announced private placement offering of special warrants (the “Special Warrants”) led by Sprott Capital Partners LP and including Paradigm Capital Inc.

The Corporation issued an aggregate of 2,768,812 Special Warrants at $8.00 per Special Warrant for aggregate gross proceeds of $22.1 million (the “Offering”).

The Offering closed in two tranches. A total of 540,484 Special Warrants were issued on December 13, 2018 (the “First Tranche”) and a total of 2,228,328 Special Warrants were issued on April 15, 2018 (the “Second Tranche”).

Terms of the Offering Securities

The First Tranche Special Warrants were automatically exercised on April 12, 2019, without payment of additional consideration, into one common share in the capital of the Corporation (each, a “Common Share”) and one half of one common share purchase warrant (each whole common share purchase warrant, a “Warrant”).

The Second Tranche Special Warrants will be automatically exercised, without payment of additional consideration, into one Common Share and one half of one Warrant at 5:00 p.m. (Toronto time) upon the earlier of: (a) the date that is 120 days from the closing date; and (b) the third business day after the issuance of a receipt for a final prospectus qualifying the distribution of the Common Shares and Warrants.

Each Warrant, when issued, shall entitle the holder to acquire one Common Share at a price of $10.00 for two years, subject to acceleration such that, if the Common Shares are listed and posted for trading on a stock exchange and the volume weighted average price of the Common Shares on such stock exchange is equal to or greater than $12.50 for a period of 10 consecutive trading days, the Corporation may at its option elect to accelerate the expiry of the Warrants by providing notice to the holders thereof, in which case the Warrants will expire on the 30th calendar day following delivery of such notice.
